ICCS ANNUAL GENERAL MEETING 2016
The 2016 Annual General Meeting of the Italian Chamber of Commerce in Singapore will be held at Sheraton Towers Singapore Hotel, Topaz Room Level 2, on Thursday 3rd March 2016 at 6.30pm sharp. (Registration begins at 6.00pm)
Please be reminded that according to the Constitution of the Chamber, the following rules apply:
1.All Corporate Members with more than one (1) continuous year of good-standing membership of the ICCS, shall have: (i) petition rights to a general meeting of Members or to a meeting of the Board on any issue relevant to the ICCS’ activities, proceedings or amendments to the Constitution; and (ii) voting rights at annual general meetings (the “AGMs”) and extraordinary general meetings (the “EGMs”) and to hold office. Corporate Members shall execute their voting rights through their respective nominated representatives (or their proxies). (Section 3. art. 3.4)
2.All Individual Members with more than one (1) continuous year of good-standing membership of the ICCS, shall have: (i) petition rights to a general meeting of Members or to a meeting of the Board on any issue relevant to the ICCS’ activities, proceedings or amendments to the Constitution; and (ii) voting rights at AGMs and EGMs and to hold office. (Section 3. art. 3.5)
3.The last date for Membership fees payment is 31st March of each year, or the AGM date. (Section 3. art. 3.11) The 2016 AGM being on the 3rd March 2016, the due date for payment of Membership to have the right to vote at the AGM is Wednesday, 2nd March 2016, 6.00pm.
Members that shall not be able to attend the AGM may vote by proxy. Any instrument appointing a proxy to attend and vote on a Voting Member’s behalf shall be in writing and submitted to the Secretary Generalat least one day before the AGM, Wednesday, 2nd March 2016, 6.00pm. A proxy shall only be another Voting Member. Each Member cannot receive more than three proxies. (Section 5, art. 5.7) The Secretary General shall ensure that the proxy process be compliant with the Constitution. Under no circumstances proxies can be given to Additional Members. Such proxies shall be deemed null and invalid.
Please note that only Main Representative members shall attend the AGM, and that under no circumstances Additional Members shall be permitted to attend the AGM. This is of critical importance to properly calculate the quorum and obtain a valid vote ballot.
